At a glance
- Your quote sets out exactly what’s included – extra work is agreed first.
- Prices exclude VAT. Invoices are due within [[14 days]].
- You own your final deliverables once they’re paid for in full.
- We don’t guarantee rankings or results, but we always work with skill and care.
- Consumers keep all their legal rights.
01About these terms
These terms and conditions (“Terms“) apply to all services and products supplied by D’Lion Paw Ltd, trading as D-Lion Paw Digital (“we“, “us“, “our“), to you, our client or customer (“you“). They also cover your use of our website, d-lionpaw.com.
By accepting a quote, paying a deposit or invoice, placing an order or asking us to start work, you agree to these Terms.
If documents conflict, they apply in this order: (1) any signed service agreement; (2) your quote or proposal; (3) these Terms; (4) our Refund & cancellation policy and Privacy & cookie policy.
Business clients and consumers. Most of our clients buy for their business. If you’re buying as a consumer (for personal use, not business), you have extra legal rights that these Terms do not take away. Where a clause says it applies to business clients only, it does not apply to consumers.

02Quotes and how our contract is formed
- Quotes and proposals are valid for [[30 days]] unless they say otherwise.
- A contract is formed when you accept our quote in writing (email is fine), sign an agreement, or pay a deposit or first invoice – whichever happens first.
- The scope of the work is what is set out in your quote or agreement. Anything not listed there is not included.
- We may decline any project or order without giving a reason.
03Our services
We provide digital marketing services including SEO, web design, PPC (paid advertising management), AI technology and AI search optimisation (AEO/GEO), social media management, content writing, video marketing and digital flyer design, together with related consultancy.
- We will carry out the services with reasonable skill and care, using suitably experienced people.
- Changes to the scope: if you want to add or change work, we’ll confirm any extra cost and timing before we start. Extra work is charged at the rates in your quote or, if none are stated, at our standard hourly rate of [[£50 + VAT]].
- We may use trusted freelancers or subcontractors to help deliver the services. We remain responsible for their work.
04Your responsibilities
Good results depend on working together. You agree to:
- give us accurate information, content, images, logos and feedback, and respond to requests for approval within a reasonable time;
- give us any access we need – for example to your website, hosting, Google Analytics, Google Business Profile, Google Ads or social media accounts – and keep your own login details secure;
- make sure you own, or have permission to use, everything you supply to us, and that it does not break any law or anyone else’s rights (including copyright, trade marks and privacy);
- check and approve work before it is published, and make sure the claims made about your own products and services are true and lawful (for example under advertising rules and consumer protection law);
- keep your own backups of your website, data and content, unless we have agreed in writing to do this for you.
If we’re delayed because we’re waiting for you, timescales will move accordingly. You agree to cover any reasonable losses or claims we face because material you supplied infringes someone else’s rights.
05Fees, invoices and payment
- Prices are in pounds sterling and exclude VAT, which is added where applicable.
- Projects (such as websites, videos and flyers) usually need a deposit of [[50%]] before we start, with the balance due on completion or before launch, as set out in your quote.
- Monthly services (such as SEO, PPC management and social media management) are invoiced monthly in advance.
- Invoices are payable within [[14 days]] unless your quote says otherwise.
- Late payment: if an invoice is overdue we may pause work, take down or withhold deliverables we host, and suspend access to services until it is paid. For business clients we may also charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
- Approved expenses and third-party costs (for example stock images, plugins, hosting, printing or travel) are charged in addition, at cost unless agreed otherwise.
- We may review our prices for monthly services once a year by giving you at least 30 days’ notice.
06Minimum terms, renewal and cancellation
- Some monthly services have a minimum term shown on your quote – for example 6 months for SEO – because results take time to build.
- After any minimum term, monthly services continue month to month until either of us gives 30 days’ written notice by email.
- Cancellations, deposits and refunds are covered in our Refund & cancellation policy, which forms part of these Terms.
07Timescales, approvals and revisions
- Timescales we give are our best estimate and depend on receiving content, access and feedback from you on time. We’ll keep you updated if anything changes.
- Each project includes the number of revision rounds shown in your quote – normally [[two]]. Further changes, or changes to an approved design, are charged as extra work.
- Work is treated as approved when you confirm it in writing, publish or use it, or do not raise any issues within [[10 working days]] of delivery.
08Ownership and intellectual property
- Your materials: you keep ownership of everything you supply to us. You give us permission to use it to provide the services.
- Deliverables: once you have paid in full, the final deliverables we create specifically for you (such as your website design, written content, videos and flyers) belong to you, or we grant you a licence to use them for your business, as stated in your quote. Until full payment, they remain ours.
- Our tools and know-how: we keep ownership of our pre-existing materials, templates, code libraries, processes, reports formats and know-how, and we may reuse them for other clients. Where they form part of your deliverables, you have a licence to use them for your project.
- Third-party items: themes, plugins, fonts, stock images and software are licensed from their owners on their own terms. You must keep any required licences or subscriptions in place.
- Draft concepts and unused ideas remain ours.
- Portfolio: unless you ask us not to in writing, we may show work we’ve created for you, and your name and logo, in our portfolio, website and marketing.
09Websites, hosting and third-party platforms
Much of our work uses platforms we don’t control, such as Google, Meta, TikTok, LinkedIn, WordPress, WooCommerce, hosting companies and plugin developers. Your use of them is also subject to their own terms.
- We are not responsible for outages, algorithm or policy changes, price changes, account suspensions, or loss of data caused by these platforms, or for changes they make that affect your website or results.
- Once a website has been launched and handed over, keeping it updated, secure and backed up is your responsibility, unless you have a maintenance or care plan with us.
- Accounts we set up for you (for example Google Analytics, Google Ads or Business Profile) should be in your name or ownership. Where we use our own accounts or tools on your behalf, we’ll give you access to your data when our work ends, provided all invoices are paid.
10Paid advertising (PPC and social ads)
- Advertising spend is separate from our management fee. It is paid by you directly to the platform, or to us in advance if agreed.
- We’ll only run campaigns within the budgets you approve. You are responsible for checking your payment method and spend with the platform.
- Ads must follow each platform’s advertising policies. Platforms may reject or limit ads or suspend accounts, and we can’t guarantee they will approve your ads.
- Ad spend is not refundable by us once spent.
11Our use of AI tools
We use artificial intelligence tools to help with research, analysis, ideas and first drafts, so we can work faster and smarter. Our people review, edit and check all work before it is delivered to you.
- We will not enter your confidential information into AI tools that use it to train public models.
- You should still review all content before publishing, particularly any facts, figures, prices or claims about your business.
- If you would prefer that AI tools are not used on your project, tell us in writing before work starts.
12No guarantee of results
We’ll always work hard to get you the best results we can. However, search rankings, AI recommendations, traffic, enquiries, sales, followers and advertising performance depend on many things outside our control, including search engine and platform algorithms, competitors, your market and your website.
We therefore do not guarantee any particular ranking, position, amount of traffic, number of leads, sales or return on investment. Any estimates or forecasts we give are for guidance only.
13Confidentiality
Each of us will keep the other’s confidential information private and only use it to carry out our contract. This does not apply to information that is already public, that the other party already had, or that must be disclosed by law. This clause continues after our contract ends.
14Data protection
We handle personal information in line with UK data protection law and our Privacy & cookie policy.
Where we process personal data on your behalf as part of the services – for example your customer lists, website enquiries or ad audiences – you are the controller and we are your processor. In that case we will:
- only process the data on your documented instructions and to provide the services;
- keep it confidential and secure, and make sure anyone working on it is bound by confidentiality;
- only use sub-processors (such as hosting and software providers) that offer appropriate protection;
- help you respond to data subject requests and data breaches, and tell you without undue delay if we become aware of a breach;
- delete or return the data when the services end, unless the law requires us to keep it.
You are responsible for having a lawful basis to collect and share that data, and for your own privacy notices and cookie consent.
15Our liability to you
- Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.
- Business clients: we are not liable for loss of profits, revenue, sales, business, goodwill, data or anticipated savings, or for any indirect or consequential loss.
- Business clients: our total liability arising from or in connection with any contract is limited to the fees you paid us for the services concerned in the [[3]] months before the claim arose.
- Consumers: we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill. We are not responsible for losses that were not foreseeable, or for business losses.
16Ending our contract
- Either of us may end a contract immediately by written notice if the other seriously breaches it and does not put it right within 14 days of being asked to, or becomes insolvent.
- We may also end a contract if you fail to pay an invoice within [[30 days]] of its due date, or if you behave abusively towards our team.
- When a contract ends, you must pay for all work done and costs committed up to the end date. Once paid, we’ll hand over completed deliverables and help you transfer access to your accounts.
- Clauses that are meant to continue after the contract ends – including payment, intellectual property, confidentiality, data protection and liability – will continue to apply.
17Events outside our control
We are not responsible for delays or failure to perform caused by events outside our reasonable control, such as illness, power or internet failures, platform outages, cyber attacks, extreme weather or government action. If this happens we’ll tell you as soon as possible and do what we reasonably can to reduce the impact.
18Online shop: T-shirts and merchandise
- All orders are subject to availability and acceptance. We’ll confirm your order by email.
- Prices and delivery charges are shown at checkout. If we’ve made an obvious pricing error, we’ll contact you before your order is processed.
- Colours may vary slightly from images on screen. Delivery times are estimates.
- Returns, refunds and faulty items are covered by our Refund & cancellation policy. Consumers have the right to cancel within 14 days of receiving their order.
19Using our website
- The content on d-lionpaw.com is for general information only and is not professional advice for your specific situation. We try to keep it accurate and up to date but can’t guarantee it.
- All content on our website, including text, graphics, logos and designs, belongs to us or our licensors. You may view and share it for personal, non-commercial use, but must not copy or reuse it without our permission.
- You must not misuse our website, for example by introducing viruses, attempting to gain unauthorised access or scraping content.
- Links to other websites are provided for convenience. We’re not responsible for their content.
20Complaints and disputes
If you’re unhappy with anything we’ve done, please email hello@d-lionpaw.com so we can put it right. We’ll acknowledge your complaint within 2 working days and aim to resolve it within 14 days. Both of us agree to try to settle any dispute in good faith before starting legal proceedings.
21General
- Whole agreement: these Terms, together with your quote or agreement and the policies referred to, are the whole agreement between us.
- Changes: we may update these Terms from time to time. The version in force when you accepted your quote or placed your order applies to that contract. For ongoing monthly services, we’ll give you 30 days’ notice of any significant change.
- Transfer: you may not transfer your rights under a contract without our written consent.
- Notices: notices may be given by email to the address we each normally use.
- Severability: if any part of these Terms is found to be invalid, the rest will still apply.
- No waiver: if we delay enforcing a right, we can still enforce it later.
- Third parties: no one other than you and us has any right to enforce these Terms.
- Law: these Terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. Consumers living in Scotland or Northern Ireland may also bring proceedings in their local courts.
